Introduction

By accessing or using VSmarket, you agree to be bound by these Terms of Use (“Terms”), including any future updates. Your use of the platform constitutes your acceptance of this agreement. You also agree to resolve any disputes through binding arbitration and waive your right to participate in class action lawsuits or class-wide arbitration. If you do not agree to these Terms, you must not use or access VSmarket.

Restricted Jurisdictions

VSmarket’s trading features are not available to users located in the United States, United Kingdom, France, or any other jurisdiction where such use is prohibited by law. Use of VPNs or other methods to circumvent geographic restrictions is strictly prohibited. Users are responsible for compliance with all applicable laws in their jurisdiction.

These Terms of Use (“Terms”) govern your access to and use of the VSmarket platform (“VSmarket”, “we”, “our”, or “us”). VSmarket is operated by a British Virgin Islands (“BVI”) private limited company, registered under BVI law, with its registered address and corporate information available upon legal request. By accessing or using VSmarket, you agree to be bound by these Terms. If you do not agree, you must not use or access the platform.

1. Nature of the Service — Non‑custodial & Permissionless

VSmarket is a neutral, decentralized finance (“DeFi”) infrastructure that enables users to create and join peer‑to‑peer skill challenges on their own initiative. All stakes, payouts, and proofs are processed by smart contracts deployed on public blockchains. We do not hold user funds in custody at any point — interactions occur directly between your wallet and on‑chain contracts.

VSmarket does not create, sponsor, arrange, approve, promote, or influence any challenge. All challenges are entirely user‑generated. The platform provides only neutral infrastructure and user interface tooling. We are not a betting operator or gaming organizer.

VSmarket acts purely as a facilitative platform where users interact directly peer‑to‑peer. We have no control over the outcomes of any challenge or the decisions made by users participating in those challenges.

Asset support: VSmarket currently supports challenges settled using USDC only on supported networks. The protocol does not support multi‑token staking or native ETH stakes at this stage. Transactions submitted with an incorrect network or token may revert or fail, resulting in gas costs.

No Custody, No Control of Funds

VSmarket is strictly non‑custodial. At no time does VSmarket have access to, control over, or the ability to hold, move, freeze, reverse, recover, redirect, or manage user funds. All transfers of value occur directly between user wallets and publicly deployed smart contracts. VSmarket cannot intervene in, modify, or undo any transaction.

2. Skill‑Based Challenges — Not Games of Chance

All challenges on VSmarket are based solely on user performance and skill, not on randomness or probability. Users exclusively stake on their own outcome — not on external randomness, events, or spectators’ predictions. This is fundamentally distinct from gambling or games of chance.

By using the platform, you explicitly acknowledge and confirm that any challenge you create or join isskill‑based and that you are wagering only on your own execution and ability.

3. Third‑Party Platforms & No Affiliation

Users frequently conduct their skill challenges through independent third‑party services (e.g. video games, chess platforms, IRL competitions). VSmarket is not affiliated with, endorsed by, or responsible forany such external platform. We make no guarantee of their availability, legality, or security.

You are solely responsible for ensuring that any use of third‑party platforms complies with their respective terms of service and applicable laws.

VSmarket does not claim, license, own, sponsor, or appropriate any intellectual property, rights, branding, or services of third‑party platforms, games, software, or services referenced by users in challenges. Any mention of such platforms is purely descriptive and user‑initiated. No partnership, endorsement, sponsorship, or commercial relationship is created or implied.

No Partnership, Joint Venture, or Agency

Participation in any challenge does not create any partnership, joint venture, agency, employment, fiduciary, or representative relationship between users, or between any user and VSmarket. Users act solely on their own behalf and at their own risk.

User‑Generated Content & Proofs

All proofs, counter‑proofs, descriptions, links, files, and other materials submitted through VSmarket are user‑generated content. VSmarket does not review, verify, endorse, monitor, or moderate such content, and makes no representations as to its accuracy, legality, authenticity, or completeness.

Users are solely responsible for the content they submit, including compliance with intellectual property laws, privacy rights, and applicable regulations. VSmarket disclaims all liability arising from user‑submitted content.

Regulatory Uncertainty

Laws and regulations applicable to decentralized protocols, smart contracts, and peer‑to‑peer staking mechanisms are evolving and uncertain. You acknowledge that access to or use of VSmarket may become restricted, regulated, or prohibited in certain jurisdictions at any time, and that VSmarket bears no responsibility for such changes.

Smart Contract & Technical Risks

Smart contracts and blockchain systems may contain vulnerabilities, bugs, exploits, or design limitations that could result in unexpected behavior, loss of funds, incorrect execution, or permanent failure. By using VSmarket, you expressly accept these risks.

Emergency pause: the protocol includes an emergency pause mechanism intended to mitigate critical risks or incidents. When paused, certain actions — including creating or joining challenges, submitting proofs or counter‑proofs, finalizing contests, timeout cancellations, and administrative dispute resolutions — may be temporarily disabled.

Failed transfers & claimable balances: in rare cases where an on‑chain token transfer fails, amounts owed to a user may become claimable rather than automatically transferred. Claiming such balances may require an additional on‑chain transaction initiated by the user.

Force Majeure & External Dependencies

VSmarket shall not be liable for any failure, delay, or interruption caused by events beyond its reasonable control, including but not limited to blockchain outages, network congestion, forks, attacks, infrastructure failures, third‑party service disruptions, regulatory actions, or acts of force majeure.

Taxes

You are solely responsible for determining, reporting, and paying any taxes or duties arising from your use of VSmarket. VSmarket does not provide tax advice and has no obligation to calculate, collect, withhold, or remit taxes on your behalf.

Finality of Dispute Resolution

Any dispute resolution, moderation, or arbitration mechanism offered through VSmarket, whether on‑chain or off‑chain, is final and binding. You waive any right to appeal, challenge, or seek external review of such outcomes.

No Expectation of Profit

Users should have no expectation of profit derived from the efforts of VSmarket or any third party. Outcomes of challenges depend solely on user performance and actions.

Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute against VSmarket must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative action.

No Advice & Informational Nature

VSmarket provides the platform for skill-based challenges and does not offer financial, legal, or tax advice. All content and information provided on or through the platform are for informational purposes only. You must independently verify any information before relying on it in making decisions.

4. Eligibility

You confirm that you are at least 18 years old (or the age of legal majority in your jurisdiction) and have full legal capacity to enter into binding smart contract transactions. You further confirm that you are not a resident in any jurisdiction where the use of decentralized finance platforms or staking on personal skill competitions is prohibited by law. You are solely responsible for determining whether your use of VSmarket is legal in your jurisdiction.

5. User Responsibility & Risk

You use VSmarket at your own risk.

  • You acknowledge that smart contract transactions are irreversible and subject to blockchain limitations.
  • You are responsible for understanding how wallet interactions and gas fees work.
  • You assume full responsibility for any challenge you create or join — including rules, fairness, and dispute outcomes.
  • You acknowledge the possibility of disputes, disconnections, technical errors, or adversarial participants.
  • You acknowledge that VSmarket cannot and does not verify the truthfulness of any claim or performance result submitted by users.

VSmarket offers no guarantee of outcomes, no refunds beyond smart contract logic, andno liability for any losses or damages.

Modifications

VSmarket reserves the right to modify or update these Terms at any time without prior notice. Continued use of the platform after such changes constitutes your acceptance of the updated Terms.

Your Responsibilities & Prohibited Conduct

You agree to use VSmarket in compliance with all applicable laws and these Terms. You must not engage in fraudulent, deceptive, or illegal activities, including but not limited to attempting to manipulate outcomes or circumvent platform restrictions.

Intellectual Property & Third Party Services

All intellectual property rights in the VSmarket platform and its content are owned or licensed by VSmarket. You may not use or reproduce any content without permission. Third party services integrated with VSmarket are subject to their own terms and policies.

6. Disputes & Proof of Silence Mechanism

By using VSmarket, you agree to the platform’s proof submission and proof‑of‑silence protocol. If a proof is submitted and remains uncontested within the dispute window, the smart contract automatically allocates the stake — final and irreversible.

If a contestation occurs within the silence window, the contest becomes disputed and may be resolved through the protocol’s designated arbitration mechanism. Arbitration can only occur after a proof has been submitted and in accordance with the protocol’s timing constraints; administrators cannot technically bypass these windows.

The proof system used by VSmarket is designed so that in the vast majority of cases, a winner’s submission (e.g. match screenshot or video evidence) is clear and settles the contest automatically via the proof‑of‑silence mechanism. Only a small minority of cases may be disputed if another participant raises a credible claim of fraud, misrepresentation, or rule violation. In such disputes, any arbitration or review is based solely on the materials submitted by the participants; VSmarket does not independently investigate, verify, or recreate the events of the challenge.

You acknowledge that VSmarket is not responsible for the authenticity or accuracy of any submitted proof. You further agree that any dispute resolution is limited to the parameters of the platform’s on‑chain or designated arbitration mechanisms, and that VSmarket bears no liability for any outcome arising from user‑provided evidence or the decisions made based on such evidence.

If no proof is submitted by either participant within the protocol’s predefined no‑proof window, the contest may be cancelled on‑chain according to the smart contract rules, typically resulting in a split of the net stake and refund of deposits.

7. No Financial, Legal, or Tax Advice

VSmarket is a neutral protocol. Nothing on the platform constitutes financial, legal, or tax advice. You are solely responsible for any legal or tax obligations in your jurisdiction. Consult professional advisors if needed.

Data & Privacy

VSmarket does not require personal identity (KYC) and does not store personal data. Your public blockchain address serves as your identifier. However, interactions with third‑party infrastructure (e.g. IPFS gateways, RPC providers, wallets) may involve data processed under their respective privacy policies, which you agree to review independently.

8. Jurisdiction & Governing Law

These Terms are governed exclusively by the laws of the British Virgin Islands. You agree that any legal disputes shall be brought exclusively before competent courts located in the BVI.

9. Changes to the Terms

We may update or amend these Terms at any time. Continued use of the platform after changes are published constitutes your acceptance of the updated Terms.

Finality & Irreversibility of Transactions

All on‑chain interactions initiated through your wallet (including challenge creation, stake deposits, proof submissions, payouts and fees) are final and irreversible once confirmed on the relevant blockchain. There are no chargebacks, no manual reversals, and no refundsbeyond what the deployed smart contracts expressly allow.

Anti‑VPN & Anti‑Circumvention

You must not use virtual private networks (VPNs), proxies, Tor, privacy relays or any other method to conceal your location or otherwise circumvent geographic, regulatory or product restrictions applicable to the Interfaces or Features. Any attempt to bypass restrictions is a material breach of these Terms and may result inimmediate access restrictions without notice and without any obligation to provide a refund or compensation.

Access Control, Suspension & Service Changes (No Uptime Guarantee)

We may, at any time and in our sole discretion, limit, suspend, disable or terminate access to any Interface or Feature (in whole or in part), impose rate limits, or place wallets/accounts in restricted modes (including close‑only), with or without prior notice. We may also modify, remove or discontinue Features or content at any time.

The Interfaces and Features are provided on an “as is”, “as available” basis. We makeno promise of uptime, availability, latency, performance or continuity of service. Outages, maintenance, third‑party provider issues, blockchain instability, network congestion and other events may interrupt or degrade functionality. You understand and accept these risks.

No Fiduciary Duties

To the fullest extent permitted by applicable law, we owe no fiduciary duties to you or any user of the Interfaces or Features, including any duties of care, loyalty or disclosure, beyond those expressly set forth in these Terms. No information or communication from us creates any advisory, brokerage, trustee, partnership or agency relationship. You are solely responsible for your decisions and interactions with the smart contracts and third‑party services.

Indemnification

You agree to indemnify and hold harmless VSmarket and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses arising out of your use of the platform or violation of these Terms.

Disclaimers & Limitation of Liability

VSmarket is provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by law, VSmarket disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. VSmarket shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

Additional Legal Disclaimers & No Reliance

VSmarket does not provide investment, trading, financial, legal, or tax advice. Users must not rely on any data or information presented through the platform's interface for making decisions involving investments or transactions. All content and information provided by VSmarket are strictly for informational purposes and come with no warranties or guarantees of accuracy, completeness, or timeliness.

Users acknowledge and accept the inherent immutability and risks of blockchain technology and smart contracts, including but not limited to potential hacks, exploits, network congestion, chain reorganizations, and oracle failures. VSmarket has no control over the underlying blockchain networks or third-party infrastructure and expressly disclaims any responsibility for downtime, data inaccuracies, or actions by malicious actors.

Third Party Integrations & No Endorsement

VSmarket integrates with various third-party services and infrastructure components such as RPC providers, wallet software, bridges, third-party marketplaces, IPFS gateways, analytics oracles, and others. These third-party services are not vetted, endorsed, or guaranteed by VSmarket. Users assume all risks associated with their use. VSmarket does not monitor, audit, or take responsibility for the security, availability, or functionality of these external services.

VSmarket has no commercial, legal, sponsorship, or partnership relationship of any kind with any video game publishers, game studios, board game companies, streaming platforms, esports organizers, or any other third‑party entity whose products or services may be used by users during skill challenges. Any references to such third‑party platforms are purely descriptive, and their inclusion does not imply any affiliation, endorsement, or approval.
